Busy times?

With 2017 now one-quarter old it is clear most credit professionals are expecting it to be one of the busiest yet.  If your business isn't growing, changing or reinventing, then keeping on top of legislative and market changes is sure to be occupying much of your time.

This newsletter is a handy snapshot to keep you on track. Take note of the insolvency innovation legislation, unfair contracts update and other ways the AICM can help you succeed in 2017.

Insolvency Innovation

The Treasury has released its draft legislation which seeks to promote a culture of entrepreneurship and innovation and reduce the stigma associated with a business failure by introducing a safe harbour defence to insolvent trading and removing ipso facto clauses.

By providing a safe harbour defence, directors will be encouraged to continue trading rather than entering into voluntary administration, providing they take appropriate steps to restructure the business.

The legislation also seeks to make 'ipso facto' clauses unenforceable if a company is undertaking a restructure.  An 'ipso facto' clause allows one party to terminate or modify a contract due to a specific event regardless of continued performance.  The legislation is intended to facilitate restructure by assisting a business continuing to trade whilst in administration.

The AICM will provide feedback to the Minister for Revenue and Financial Services, the Hon Kelly O’Dwyer and seeks your contributions to this submission.

Case law clarifies PPSA

The AICM continues to build its library of documents that support credit professionals when dealing with uncertainties of PPS law.

Frank Gambera's article looks at a recent case where a registration was not made within the time prescribed by the act and how to preserve your security interest.

ACCC to target unfair contracts

The Chairman of the Australian Competition and Consumer Commission Rod Sims says 2017 will see its enforcement teams hone in on:
- misleading and deceptive practices,
- anti-competitive conduct, and
- unfair contract terms affecting small businesses.

If you haven't reviewed your contracts and processes as a result of the Unfair Contracts Legislation extending to small business from 12 November 2017 don't delay.

If you search unfair contracts on the AICM website you'll find relevant articles to get you up to date with this important change for all that trade with small business.
